End User Licence Agreement
Our End User Licence Agreement (EULA)
IMPORTANT – READ CAREFULLY: This End User Licence Agreement (“Agreement”) is a legal agreement between you (the “End User”), either an individual or a legal entity, and Rootshell Security Ltd (“Rootshell”, “we”, “us” or “our”), for the use of the Rootshell Platform (the “Platform”).
By accessing or using the Platform, the End User agrees to be bound by this Agreement.
Licence Grant
1.1 Rootshell hereby grants the End User a non-exclusive, non-transferable, revocable licence to access and use the Platform, solely for internal business purposes and in accordance with this Agreement, for the duration of the paid subscription term.
1.2 The licence is limited to the number of authorised users or usage limits .
1.3 No rights are granted except as expressly set forth in this Agreement.
Restrictions
2.1 The End User shall not:
– Copy, reproduce, modify, or create derivative works of the Platform;
– Decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code;
– Use the Platform for purposes of benchmarking or developing a competing product;
– Allow unauthorised third parties to access the Platform;
– Circumvent any security mechanisms or access controls in the Platform:
– or introduce any malicious or trojan software to the Platform.
Ownership
3.1 Rootshell retains all rights, title, and interest in and to the Platform, including all intellectual property rights.
3.2 No ownership rights are transferred to the End User under this Agreement.
3.3 Rootshell shall defend or settle any third-party claim alleging that the Platform infringes any valid UK intellectual property right, and indemnify the End User against reasonable costs and damages awarded, provided that the End User promptly notifies Rootshell and cooperates fully in the defence or settlement of the claim. This indemnity shall not apply if the claim arises from misuse, unauthorised modification, or use in combination with third-party products.
End User Data
4.1 All data submitted to the Platform by the End User remains the property of the End User.
4.2 Rootshell may process such data solely for the purposes of providing the Platform’s services and in accordance with its Privacy Policy (https://www.rootshellsecurity.net/privacy-policy) and applicable data protection laws.
Confidentiality
5.1 The Platform and related documentation may contain confidential or proprietary information. The End User agrees not to disclose such information to any third party (including its affiliates or group companies) without the prior written consent from Rootshell.
Warranties and Disclaimers
6.1 The Platform is provided “as is” and “as available.” Rootshell disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
6.2 While Rootshell makes commercially reasonable efforts to ensure availability of the Platform, the End User acknowledges that uptime and performance may be affected by the availability of underlying third-party hosting services (specifically Amazon Web Services (AWS)). Accordingly, Platform availability is subject to AWS’s operational status and service-level commitments. Rootshell does not guarantee uninterrupted access and shall not be liable for any downtime caused by AWS outages or maintenance.
6.3 If the Platform does not materially conform to its documentation or agreed specifications, Rootshell will, at its discretion, either: (a) correct the non-conformity; or (b) refund the portion of fees paid for the affected service, provided notice is given within 30 days of discovery.
6.4 The End User is responsible for maintaining appropriate security measures, internet access, and compatible devices or browsers to access the Platform.
Liability
7.1 To the extent permitted by law, Rootshell shall not be liable for any indirect, incidental, special or consequential loss or damages including loss or damage to data, loss of profits or business opportunities.
7.2 Rootshell maintains appropriate technical and organisational measures (TOMs) to safeguard data in accordance with applicable data protection laws.
7.3 Rootshell’s total liability under this Agreement shall not exceed the amount paid for the End User’s use of the Platform.
Termination
8.1 This Agreement will remain in effect until terminated.
8.2 Rootshell may suspend or terminate access to the Platform immediately if the End User breaches this Agreement.
8.3 Upon termination, the End User must cease all use of the Platform.
Governing Laws
9.1 This Agreement shall be governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the English courts.
Acceptance
BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
